Your Role
Baxter is seeking an experienced commercial attorney to join the legal team supporting Baxter’s Front Line Care (FLC) organization. FLC is focused on global commercialization including sales/national accounts, marketing, distribution and commercial operations.
The candidate will work closely with members of FLC’s sales, marketing and commercial teams, including Vice President, Senior Director and Director level members. Primary responsibilities will include preparing and negotiating a variety of customer, distributor and GPO agreements and providing strategic legal counseling concerning sales and marketing activities in the context of applicable regulatory requirements, including fraud and abuse laws, FDA regulations, and antitrust laws. The role will also regularly interact with development teams on new products, including negotiations with development partners. The successful candidate will embrace the Legal Department’s Professional Standards to be a valued business attorney and a strong, collaborative team player.
The successful candidate for the Senior Counsel position will be located in Deerfield, Illinois; Minneapolis, Minnesota; or Skaneateles, New York and will report to the Associate General Counsel, US Hospital Products.
What You'll be Doing
- Draft and negotiate a variety of customer contracts with healthcare organizations, group purchasing organizations, wholesalers and distributors HCPs and governmental entities.
- Provide strategic legal advice to facilitate FLC’s business objectives and minimize potential legal risks.
- Participate as legal representative on various cross-functional teams and projects.
- Coordinate with other legal department subject matter experts to provide guidance on compliance with the fraud and abuse laws, applicable antitrust laws, FDA regulations, HIPAA, and Baxter’s ethics and compliance policies.
- Stay current with legal, regulatory and governmental developments impacting FLC.
- Effectively and cost efficiently lead and direct outside counsel as needed.
What You'll Bring
- JD or international equivalent from a nationally or internationally recognized institution.
- Minimum 10 years of relevant professional legal experience, with a mix of work at a top law firm and comparable in-house, corporate environment with a high level of complexity and direct commercial contracting and counseling experience.
- Medical device or pharmaceutical experience preferred.S
- Significant experience drafting and negotiating a variety of commercial contracts, including those with U.S. healthcare organizations, GPOs, wholesalers and distributors, HCPs and governmental entities.
- Demonstrated experience providing practical, timely and effective legal advice as a valued business lawyer and genuine team player.
- Good working knowledge of healthcare and other laws, regulations and industry codes applicable to medical device and pharmaceutical companies, including the fraud and abuse laws, FDA regulations, HIPAA, and US antitrust laws.
- Excellent analytical, written and oral communication, and relational skills.
- Thrives in a fast-paced environment.
- Sound judgment, strong attention to detail, and proven ability to prioritize workload, meet deadlines and work with minimal supervision in a busy environment with competing priorities.
- Consistently and broadly recognized achievement of the Legal Department’s Professional Standards.

We understand compensation is an important factor as you consider the next step in your career. At Baxter, we are committed to equitable pay for all employees, and we strive to be more transparent with our pay practices. The estimated base salary for this position is $224,000 to $280,000 annually. The estimated range is meant to reflect an anticipated salary range for the position. We may pay more or less than of the anticipated range based upon market data and other factors, all of which are subject to change. Individual pay is based on upon location, skills and expertise, experience, and other relevant factors. This position may also be eligible for discretionary bonuses and long-term incentive.
