The Director, Legal & Contract Attorney, Healthcare plays a leading role in Inmar’s Healthcare Division’s contracting processes, including managing a team and supporting various legal tools/database efforts; specifically, they develop and implement contracting and negotiating strategies, perform legal analysis in a business context and provide recommendations and guidance to the Healthcare legal department and leadership, along with business stakeholders, including operations, sales, finance, and other functional areas based on such analysis to minimize legal risk to Inmar, while still allowing the company to conduct business effectively and serve its customers.
Typical duties relate to managing the contracting processes, paralegals and contract managers within the Healthcare legal department, including process management, database/tool management, training, negotiation with external parties, analysis of legal provisions from a risk perspective, and analysis of business terms within the context of the product and service lines. Excellent strategic thinking and analytical and drafting skills, as well as the ability to communicate effectively and professionally both internally and externally, are fundamental and critical to this position.
Primary Accountabilities:
Manage contracting processes.
Support the development and implementation of strategy in conjunction with Healthcare legal leadership to enhance and maintain contracting efficiencies.
Perform an integral role in the development and execution of specific deal negotiation strategies.
Draft, edit, and review substantive legal provisions for contracts between Inmar and external customers and vendors and standardize contracts into legal templates where appropriate (and update/revise such templates as necessary); manage the development of new contracts and contract templates for new product lines and services; and support the development and maintenance of contract playbooks.
Negotiate contract provisions with proven ability to translate business needs into contract terms.
Conduct legal analysis, and manage the legal analysis conducted by paralegals and contract managers, to ensure Inmar contracts appropriately protect the interests of Inmar and propose contractual solutions to business problems.
Develop a profound understanding of the business operations to ensure that the needs of the business are met and be able to articulate legal issues clearly to the business stakeholders.
Advise internal business stakeholders regularly about contract provisions and contracting processes, including agreement status, risk profiles and service terms.
Manage the processes to seek and document internal approvals for business and financial terms for contracts.
Assist as needed with litigation and mergers & acquisitions support.
Manage a team of paralegals and contract managers, including providing training and regular feedback, establishing annual targets for the team based on organizational priorities and providing coaching and mentorship to the team to foster an environment of growth and development.
equired Qualifications:
Bachelor’s Degree, from a four-year college or university
Juris Doctor (JD) degree from an ABA-accredited law school
Licensed to practice law and in good standing in at least one state
7+ years’ related work experience involving reviewing, analyzing, drafting, editing and negotiating complex legal provisions and sell-side commercial contracts within a legal department; or any equivalent combination of experience and training that provides the required knowledge, skills, and abilities needed to complete the major responsibilities/essential functions of the position
Must be experienced with software systems and databases to work efficiently with Inmar’s contract management tools (e.g. Ironclad); technology background is recommended but not required
Strong attention to detail and organizational skills with the ability to deal effectively with individuals at all business levels and a variety of situations requiring tact, judgment, patience and composure
Ability to effectively manage (and train/develop/coach) people and processes in a fast-paced legal and business environment
Ability to compose professional correspondence and draft, analyze and revise legal language for legal documents, while independently carrying out assignments to completion with minimal instruction, and manage and train paralegals who support the same
Proficient in Microsoft Office Outlook, Word, PowerPoint and Excel
