Job Summary:
The Associate General Counsel, Strategy and Procurement (the “AGC”) leads the Strategy and Procurement vertical within the Commercial Legal Team. The AGC provides support for the Growth department and oversees Legal Affairs Team members who lead other legal areas for the Company. Counsels cross-functional leaders on complex legal issues that may affect multiple business lines, drawing on and involving subject matter experts from other parts of the department as appropriate.
Responsibilities:
- Independently review, draft, and negotiate highly complex acquisition agreements, joint venture agreement, strategic partnership agreements and other legal documentation with partners, customers, suppliers, and other parties, including, but not limited to, data use agreements, technology licensing agreements, joint research projects, and contracts with partners and vendors supplying products, services, data, or other intellectual property to Surescripts.
- In collaboration with the Growth department, manage, organize, and oversee the due diligence process to include educating internal stakeholders as to key issues of concern. Compile and assess feedback from the diligence process and interpret it into contractual protections or obligations.
- Lead the Strategy and Procurement vertical within the Legal Affairs Team that counsels, drafts, and assists in the negotiation of procurement, corporate strategy, corporate development, and business development matters, including, but not limited to, acquisitions, strategic partnerships, collaboration agreements, joint development agreements, and all ancillary documentation to support these agreements to include NDAs.
- Oversee, train, hire, develop, and coach team of attorneys, contracts specialists, or other legal professionals to drive outcomes and behaviors consistent with the Department’s purpose and service delivery model.
- Assign responsibilities to team, delegate, and manage team to ensure appropriate coverage and back-up support to meet enterprise needs.
- Serve as a senior leader on the Legal Affairs Team to develop, implement, and execute strategic vision, including overseeing team meetings, brainstorming sessions, trainings, and team building activities.
- Manage complex projects as assigned on behalf of Surescripts’ business groups.
- Oversee and support team members in the ideation phase of new products or product improvements for their assigned products and in analyzing and advising on Surescripts’ products/services in conceptual, development phases.
- Partner with and advise other departments including but not limited to Growth, Marketing, and Product Innovation regarding product strategy and development, data sourcing, and other matters requiring cross-product and market segment knowledge.
- Partner with subject matter experts in the Department on areas such as antitrust, privacy, litigation, information access, intellectual property, etc. and ensure that the team acts accordingly.
- Act in accordance with the Department’s service delivery model.
- Recommend operational strategies and plans to senior management and leadership regarding the achievement of terms with partners necessary to the Company’s goals for product deployment, revenue, and/or strategic initiatives.
- Partner cross-functionally and proactively to continuously improve upon existing processes and procedures to make corporate strategy, corporate development, and business development transactions more efficient and achieve greater speed to value.
- Drive a process and approach that ensures relevant facts are requested and legal considerations are assembled, assessed and accurate before transaction or partnership documents are presented for execution.
Qualifications:
Basic Requirements:
- Juris Doctor Degree from an ABA-accredited law school and good standing member of the bar in at least one state
- 10+ years of experience as a practicing attorney drafting asset or stock purchase agreements and strategic partnership agreements to include negotiating them to successful conclusion.
- 5+ years of experience as an in-house attorney supporting multiple departments of an organization with legal and business advice and influencing decision-making.
- 7+ years of experience drafting and negotiating contracts related to data rights/license agreements and other intellectual property.
- 3+ years of experience successfully training/onboarding junior attorneys and legal support staff to speed their ability to bring value to an organization.
- Strong ability to balance risk and opportunity. Excellent communication skills to present and explain complex deals to executive and senior leadership.
- Ability to draft contracts and other documentation “from scratch” in support of novel and innovative projects.
- Demonstrates experience in corporate matters of diverse scope, requiring in-depth evaluation and interpretation.
- Works independently, demonstrating significant subject matter experience and excellent communication skills.
Preferred Qualifications:
- 3+ years of experience providing legal services to companies in the healthcare industry.
- Knowledge of privacy and data security matters in the healthcare sector
- Proactive, practical, solution-oriented approach
- Strong cross-functional partnering skills
- 3+ years of people management experience or experience in roles showing progressive leadership

At Surescripts, base pay is one part of our Total Rewards Package (which may also include bonus, benefits etc.) and is determined within a range. The base pay range for this position is $207,600 - $253,800 per year. Your base pay may vary within or outside of this range depending on a number of factors, including (but not limited to) your qualifications, skills, experience, and location.
