The Software Contracts Analyst is responsible for the review, negotiation, and lifecycle management of software-related agreements, including SaaS, licensing, maintenance, and enterprise vendor contracts. This role serves as a key liaison between Legal, Procurement, IT, Finance, and business stakeholders to ensure contracts are commercially favorable, compliant with company standards, and aligned with operational and strategic objectives.
The Analyst independently leads negotiations across a broad portfolio of software vendors and plays an active role in cost optimization, risk mitigation, and process improvement initiatives.
Key Responsibilities:
Contract Review & Analysis
● Review, interpret, and analyze software agreements, including SaaS, subscription, perpetual license, maintenance, and master service agreements
● Assess commercial, financial, and contractual risk and recommend mitigation strategies
● Draft and revise contract language
● Identify non-standard terms and partner with Legal on risk-based decisions
● Ensure contracts align with internal governance, financial controls, and compliance requirements
Negotiation & Vendor Management
● Lead negotiations for software contracts, renewals, amendments, and new vendor engagements
● Develop and execute negotiation strategies focused on cost savings and risk reduction
● Negotiate key commercial and contractual terms including pricing, renewal structures, audit clauses, service levels, and termination rights
● Collaborate with business stakeholders to define negotiation objectives and requirements
● Support enterprise-level strategic vendor negotiations in partnership with senior leadership
Contract Lifecycle Management
● Manage contracts through the full lifecycle from intake to execution and renewal
● Create, Manage and Monitor renewal calendars and proactively initiate renewal strategies
● Maintain accurate contract records
● Track and report on key metrics such as savings, cycle time, and contract compliance
Cross-Functional Collaboration & Process Improvement
● Serve as a trusted advisor to internal stakeholders on software licensing and contract matters
● Provide guidance on licensing models, usage rights, and vendor risk considerations
● Contribute to the development and refinement of contract templates, negotiation playbooks, and SOPs
● Support internal and external audit requests related to software agreements
● Address software ticket requests by resolving license inquiries, necessary purchases and compliance position tracking.
Qualifications
Required:
● Bachelor’s degree in Business, Finance, Legal Studies, Information Systems, or related field (or equivalent experience)
● 3–5 years of experience in contract negotiation, procurement, vendor management, or legal support, preferably in software or IT-related agreements
● Demonstrated experience independently leading contract negotiations
● Strong understanding of commercial contract principles
● Excellent written and verbal communication skills
Preferred:
● Experience negotiating SaaS and enterprise software agreements
● Familiarity with software licensing models (subscription, usage-based, enterprise agreements)
● Experience with contract lifecycle management (CLM) systems
