Cencora is seeking a Senior Director, Finance M&A and Integration to lead strategic financial integration and divestiture efforts for acquisitions and separations. Reporting to the Finance M&A and Integration Vice President, this high-impact role will oversee the design, execution, and optimization of the Finance integration program, from due diligence and pre-close planning through Day-1 execution and post-close transformation. The Senior Director will act as a key strategic leader, ensuring alignment with corporate objectives, driving synergy realization, mitigating stranded costs, and enabling Finance transformation. This role requires exceptional leadership, strategic acumen, and the ability to influence and collaborate with senior executives and cross-functional stakeholders.
Responsibilities
Strategic Leadership & Governance
Serve as a strategic advisor to the Finance M&A and Integration Vice President, contributing to the development and enhancement of the Finance integration/divestiture strategy, playbook, and governance model.
Help drive Finance integration/divestiture program, ensuring alignment with corporate objectives, strategic priorities, and financial goals.
Partner with the Integration Management Office (IMO) and senior leaders across Finance, IT, HR, Legal, Supply Chain, and Commercial operations to define and implement an operating model, governance cadence, and critical decision-making frameworks.
Oversee the design and execution of Finance deal workstreams, focusing on synergy realization, stranded cost mitigation, and TSA (Transition Services Agreement) development and costing.
Provide strategic oversight for the creation of TSAs, exit plans, and tracking of one-time costs to ensure seamless separations and integrations.
Establish and maintain alignment with Corporate Development, Legal, and other key stakeholders on financial goals, timelines, and deliverables.
Program Execution & Oversight
Lead the execution of Finance integration and divestiture activities, ensuring that milestones are met, risks are mitigated, and objectives are achieved.
Oversee the development and management of integrated master plans, including milestones, dependencies, and success criteria, while ensuring alignment across Finance and cross-functional teams.
Monitor and track synergy targets (revenue, cost, working capital) and stranded costs, providing executive-level insights and updates through dashboards and reports.
Manage integration budgets, ensuring costs are accurately tracked, reported, and aligned with financial objectives.
Act as an escalation point for resolving complex issues, ensuring that risks, assumptions, issues, and decisions (RAID) are proactively managed.
Provide regular updates to senior leadership and the Integration Steering Committee, delivering actionable insights and recommendations.
Day-1 Readiness & Transformation
Oversee the development and execution of Day-1 readiness plans, ensuring smooth transitions across people, processes, technology, controls, access, cash management, and financial close.
Drive Finance transformation initiatives post-integration, focusing on process optimization, system integration, and long-term operational efficiency.
Lead change management efforts, including defining stakeholder-specific communication strategies, training programs, and adoption metrics to ensure successful transitions.
Act as the central point of coordination and decision-making for Finance during critical milestones, ensuring alignment across all teams and stakeholders.
Leadership & Team Management
Provide strategic guidance to workstream leads and cross-functional teams to ensure alignment with integration/divestiture objectives.
Capture lessons learned from integration and divestiture activities, refining playbooks and templates to improve future transactions.
Serve as a visible and influential leader within the organization, fostering relationships and alignment with senior executives and cross-functional stakeholders.
Education and Work Experience
Required: Bachelor’s degree in Finance, Accounting, Business Administration, or related field.
Preferred: MBA or CPA.
5+ years of experience in Finance or Accounting, with significant expertise in mergers and acquisitions, financial modeling, and organizational transformations.
Proven track record of leading large, complex integration or divestiture projects, including cross-functional team management and executive-level engagement.
Extensive experience with TSA creation, exit plans, and tracking one-time costs.
Demonstrated ability to manage large budgets and lead high-performing teams.
Skills and Knowledge
Deep knowledge of financial processes, systems, and reporting standards (e.g., GAAP, IFRS).
Expertise in synergy capture, stranded cost mitigation, and TSA creation.
Advanced financial planning, analysis, and dashboard tracking capabilities. Hyperion experience preferred.
Exceptional project management skills, with a proven ability to deliver large-scale projects on time and within budget.
Proficiency in ERP systems (e.g., SAP, Oracle, Workday) and financial reporting tools.
Strong analytical, problem-solving, and decision-making skills, with the ability to navigate ambiguity and prioritize effectively.
Outstanding interpersonal, communication, and presentation skills, with the ability to influence and engage stakeholders at all levels.
Preferred Qualifications
Experience in pharmaceutical, healthcare, or related industries.
Familiarity with post-merger integration and divestiture methodologies, tools, and best practices.
Project management certifications (e.g., PMP, Six Sigma).
